End-user license agreement

This agreement covers the QuickBooks Online integration operated by JVC Automotive Solutions LLC for its own internal bookkeeping. The software is not sold, licensed, or distributed to anyone outside the company.

1. Scope

This agreement is between JVC Automotive Solutions LLC, a Washington limited liability company ("the Company"), and the Company's own employees and authorized contractors ("you") who use the Company's QuickBooks Online integration ("the Software").

2. Grant of license

The Company grants you a non-exclusive, non-transferable, revocable license to use the Software solely to perform bookkeeping and accounting work on behalf of the Company. The license ends when your employment or engagement ends, or when the Company revokes it, whichever comes first.

4. Restrictions

You may not copy, distribute, sublicense, sell, or otherwise make the Software available to any third party. You may not use it against any QuickBooks company file other than those owned by the Company. You may not use it to access, export, or process data belonging to any other business.

5. Ownership

The Software is built on the QuickBooks Online MCP Server published by Intuit Inc. under the Apache License 2.0, with modifications by the Company. Intuit retains all rights in its own software, trademarks, and API. Nothing here grants you rights in either party's intellectual property.

6. Intuit's terms

Use of the Software involves the QuickBooks Online API. Your use is additionally governed by Intuit's own terms of service and developer agreements. Where this agreement conflicts with Intuit's terms as to the API, Intuit's terms control.

7. No warranty

The Software is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Software modifies accounting records. You are responsible for reviewing every change it makes and for maintaining backups.

8. Limitation of liability

To the maximum extent permitted by Washington law, the Company is not liable for any indirect, incidental, special, or consequential damages arising from use of the Software, including lost profits, lost data, or accounting errors.

9. Termination

The Company may terminate this license at any time, with or without cause. On termination you must stop using the Software and destroy any local copies, credentials, and access tokens in your possession.

10. Governing law

This agreement is governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Venue for any dispute is Benton County, Washington.
